1. Professional Services and Engagement
Avyron LLC provides professional tax preparation, bookkeeping, CFO advisory, and business formation services. All specific deliverables, fees, and timelines will be outlined in a separate written Engagement Letter signed by both parties prior to the commencement of any work. These Terms & Conditions serve as the foundational agreement for all services.
2. Client Responsibilities
The accuracy and completeness of the financial services we provide are highly dependent upon the information you supply. As a client, you agree to:
- Provide accurate, truthful, and complete financial records, receipts, and documentation in a timely manner.
- Review all tax returns, ledgers, and financial reports promptly upon receipt.
- Retain all original documentation (receipts, W-2s, 1099s) as required by law; Avyron LLC is not responsible for the physical storage of your original documents.
3. Payment Terms
Fees for our services will be explicitly stated in your Engagement Letter. Standard payment terms require settlement within 15 days of invoice receipt, unless otherwise negotiated. Late payments may be subject to a 1.5% monthly interest fee. Avyron LLC reserves the right to suspend services and withhold finalized filings or reports if accounts are severely delinquent.
4. Liability and Indemnification
While Avyron LLC exercises the highest degree of professional care, we cannot guarantee specific financial outcomes, tax savings, or loan approvals. We are not responsible for penalties, interest, or legal repercussions resulting from incomplete or falsified information provided by the client.
Our maximum liability relating to services rendered under any engagement shall be limited to the total fees paid for those specific services.
5. Intellectual Property
All methodologies, financial models, custom spreadsheets, and proprietary advisory frameworks developed by Avyron LLC remain the intellectual property of Avyron LLC. Clients are granted a limited license to use these tools for their internal business operations.
6. Governing Law
These terms and any disputes arising from our services shall be governed by the laws of the State of Texas, without regard to its conflict of law principles.
7. Amendments
Avyron LLC reserves the right to modify these Terms & Conditions at any time. Significant changes will be communicated to active clients via email.
